Terms of Service - Code of Conduct

Introduction

By accessing or using Dzi's services ("Services"), including but not limited to visiting the Dzi website located at bailey.rest ("Website"), or adding the Dzi Bot ("Bot") to your Discord server, you ("User") hereby acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Agreement"). If you do not agree to these terms in their entirety, you are expressly prohibited from using the Services and must discontinue use immediately.

Definitions

In this Agreement:

• "Dzi," "we," "us," "our" refer to Dzi Bot and its affiliates, managers, developers, and executives.
• "Services" means all products, features, applications, websites, or other services operated by Dzi.
• "User," "you," "your" refer to any individual or entity using our Services.

Disclaimer

You may not use Dzi to violate any applicable laws, regulations, or Discord's Terms of Service and Community Guidelines. Any misuse of Dzi for unlawful purposes or in violation of these terms is strictly prohibited. If you become aware of any individuals or communities engaging in such activities, you are encouraged to report them to us at discord.gg/KsfkG3BZ4h.

Compliance with Laws and Discord Policies

• The User shall comply with all applicable local, state, national, and international laws and regulations in connection with the use of the Services.
• User acknowledges that use of the Services is subject to Discord's Terms of Service and Community Guidelines, and any violation thereof constitutes a violation of this Agreement.
• User shall promptly report any violations of applicable laws, regulations, or Discord policies to Dzi via Discord at discord.gg/KsfkG3BZ4h.

Website Usage Restrictions

User is expressly prohibited from engaging in the following activities in relation to the Website:

• Any attempt to exploit, hack, damage, disrupt, or gain unauthorized access to the Website or its systems;
• Any use of the Website for unlawful, fraudulent, or malicious purposes;
• Scraping, collecting, or harvesting any information from the Website for unauthorized purposes;
• Framing or mirroring any portion of the Website without prior written authorization;
• Copying, reproducing, distributing, or claiming ownership of any content, design elements, or proprietary information from the Website.

Bot Usage Restrictions & Enforcement

Prohibited Activities

• Violation of Discord's Terms of Service or Community Guidelines;
• Reproducing, duplicating, copying, selling, or reselling any portion of the Bot's functionality;
• Facilitating, enabling, or encouraging others to reproduce Dzi's services or features;
• Exploitation of bugs, glitches, or vulnerabilities in the Bot's functionality;
• Operation of a Discord server that has been previously terminated for policy violations;
• Organizing, participating in, or encouraging harassment, "raids," or targeted attacks against Dzi.

Enforcement Rights

• Terminate access to the Services, temporarily or permanently, with or without prior notice or liability;
• Remove, disable, or restrict the availability of any content;
• Take appropriate legal action against Users who violate these terms, including without limitation, reporting such Users to law enforcement authorities;
• Pursue any and all remedies available at law or in equity for violations of this Agreement;
• Investigate and prosecute violations of these terms to the fullest extent of the law.

No Waiver

Dzi's failure to enforce any right or provision of this Agreement shall not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Dzi.

Service Availability and Termination

Unguaranteed Availability

Dzi does not guarantee continuous, uninterrupted, or secure access to our Services. Operation of the Services may be interfered with by numerous factors outside of our control.

Discretionary Service Provision

Dzi reserves the absolute right, in its sole discretion, to refuse service, terminate accounts, or remove or edit content if Dzi determines, in its sole judgment, that a User's conduct violates applicable law, threatens the integrity of the Services, potentially exposes Dzi to legal liability, or otherwise conflicts with Dzi's business interests.

Right to Terminate

Dzi reserves the right, in its sole discretion, to terminate User's access to and use of the Services immediately without prior notice or liability for any reason, including but not limited to a breach of this Agreement.

Survival of Terms

All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnity

User agrees to defend, indemnify, and hold harmless Dzi, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to User's violation of this Agreement or User's use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in this Agreement.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL DZI BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM USER'S ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

Amendments to Agreement

Right to Amend

Dzi reserves the right to modify, amend, or update this Agreement at any time at its sole discretion without notice to User.

Acceptance of Amendments

User's continued use of the Services following the posting of any amendments to this Agreement constitutes acceptance of those amendments.

Violation of Amended Terms

Violation of any amended terms may result in immediate termination of User's access to all Services provided by Dzi.

Miscellaneous

Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between Dzi and User regarding the Services and supersedes all prior agreements and understandings, whether written or oral.
